Terms & Conditions (CGU)

These Terms & Conditions ("Terms") govern access to and use of the websites, applications, dashboards, APIs, documentation, and related services provided by SAHL FINTECH SARL (commercial name: Sahl Financial) ("Sahl", "we", "us") (collectively, the "Services"). By accessing or using the Services, you ("you", "User") agree to be bound by these Terms.
If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization and "you" includes that entity.
Order of precedence: If you have a separate signed agreement with Sahl (e.g., Master Services Agreement, API Agreement, Data Processing Addendum, Statement of Work) ("Enterprise Agreement"), that Enterprise Agreement governs to the extent of any conflict.
1) Who We Are

2) Definitions
"Customer" means an entity (business/partner) that contracts with Sahl for the Services. "End User" means an individual whose data may be processed through a Customer's use of the Services. "Customer Data" means data submitted to or processed by Sahl on Customer's behalf. "Personal Data" means information relating to an identified or identifiable natural person. "Sub-processor" means a third party engaged by Sahl to process Customer Data on Sahl's behalf. "Content" means all text, data, software, code, documentation, and materials made available via the Services.
3) Eligibility and Account Registration
You must be legally able to form a binding contract. You agree to provide accurate registration information and keep it up to date. Sahl may refuse registration or suspend accounts where needed to protect users, partners, or the integrity of the Services.
4) Account Security
You are responsible for safeguarding credentials and maintaining the confidentiality of account access. You must promptly notify Sahl of any suspected unauthorized access or security incident involving your account. Sahl may implement security measures (such as multi-factor authentication, device checks, IP restrictions, or step-up verification) to protect the Services. You agree not to disable, interfere with, or circumvent these measures.
5) Acceptable Use
You agree not to: access or use the Services for unlawful purposes or in violation of applicable law; attempt to gain unauthorized access to systems, networks, accounts, or data; interfere with the Services, overload infrastructure, or disrupt availability; introduce malware, harmful code, or abusive automated traffic; reverse engineer, decompile, or attempt to derive source code except where permitted by mandatory law; use the Services to violate privacy, confidentiality, or security rights of others; misrepresent your identity, affiliation, or authority to access data. Sahl may investigate suspected violations and may suspend or terminate access as needed.
6) Authorized Data Access (Open Banking and Connectivity)
6.1 Consent and Authorization: Where the Services enable retrieval of financial or account data, you authorize Sahl to access and retrieve such data on your behalf and at your instruction, for the specific purposes disclosed during the consent flow or as documented in the applicable Enterprise Agreement. You represent and warrant that you are the account holder, or you are otherwise legally authorized to grant access to the relevant account data. 6.2 Data Collection Methods: Connectivity can vary by market and institution. Depending on availability and legal permissibility, data may be retrieved through permissioned technical methods, including official APIs when available, and/or automated access to web-based interfaces where authorized and legally permitted. 6.3 No Circumvention: Sahl does not authorize or support methods intended to defeat or bypass security controls. If an institution prevents access, changes its flows, or introduces restrictions, the connection may fail and Sahl may suspend or discontinue that connectivity. 6.4 Third-Party Institutions and Limitations: Financial institutions and third-party providers operate independently. Sahl does not control their systems, websites, uptime, data completeness, or terms. Sahl is not responsible for outages, changes, or restrictions imposed by third parties.
7) Customer Responsibilities (Enterprise Use)
If you are a Customer using Sahl for End Users, you represent and warrant that you: provide all required notices to End Users (including privacy notices where applicable); obtain and maintain all required consents/authorizations; use the Services only for lawful purposes and consistent with applicable law; implement reasonable security controls for your own systems and credentials. You are responsible for your implementation and your use-case, including decisions you make using outputs from the Services.
8) Service Availability and Changes
Sahl may modify, update, or discontinue parts of the Services. Sahl aims to maintain reliable availability but does not guarantee uninterrupted operation unless agreed in an Enterprise Agreement. Planned maintenance may occur and may impact availability.
9) Support
Support channels and response commitments (if any) are defined by your plan or Enterprise Agreement. For general inquiries: contact@sahlfinancial.com.
10) Fees and Payment (If Applicable)
If you purchase paid Services, you agree to pay fees and applicable taxes as described in the order form, pricing page, or Enterprise Agreement. Late payments may result in suspension of Services. Fees are non-refundable except as required by law or explicitly stated in writing.
11) Intellectual Property
Sahl and its licensors retain all rights, title, and interest in the Services, including software, documentation, trademarks, and other IP. You receive a limited, non-exclusive, non-transferable right to use the Services during the term, solely for your internal business purposes (or as otherwise permitted). You may not remove proprietary notices or use Sahl branding without written permission.
12) Confidentiality
Non-public information disclosed by Sahl (including security materials, pricing, architecture details, documentation not publicly shared) may be confidential. You agree to protect such information using reasonable measures and not disclose it except as permitted by law or with Sahl's written consent. Enterprise confidentiality obligations may be further defined in an Enterprise Agreement.
13) Privacy and Data Protection
Sahl processes Personal Data according to the Privacy Policy and, where applicable, an Enterprise Agreement and/or Data Processing Addendum. Where Sahl acts as a processor, Sahl processes Customer Data only on documented instructions, except where required by law.
14) Security and Investigations
Sahl maintains security measures designed to protect the Services. You agree not to perform security testing (e.g., penetration testing, scanning) against Sahl systems without prior written permission, except where mandatory law grants such rights. Responsible disclosure is welcomed via contact@sahlfinancial.com.
15) Suspension and Termination
Sahl may suspend or terminate access: for violations of these Terms; to protect users, partners, or system integrity; for legal or compliance reasons; for non-payment (where applicable); to address security risks or suspected abuse. You may stop using the Services at any time. Certain sections (confidentiality, disclaimers, limitation of liability, indemnity, governing law) survive termination.
16) Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available." Sahl disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement. Financial data and derived insights are provided for informational and operational purposes. You are responsible for validating outputs where decisions may impact individuals or carry legal/financial consequences.
17) Limitation of Liability
To the maximum extent permitted by law: Sahl will not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, or loss of profits/revenue/data, even if advised of the possibility. Sahl's total aggregate liability under these Terms will not exceed the total fees paid to Sahl for the affected Services in the 12 months preceding the event. Nothing in these Terms limits liability where such limitation is prohibited by mandatory law.
18) Indemnification
You agree to indemnify and hold Sahl harmless from claims arising out of: your misuse of the Services; your failure to obtain required consents/authorizations or provide required notices; your violation of law or third-party rights; your implementation, products, or services that rely on Sahl.
19) Compliance (Sanctions, Anti-Corruption, Misuse)
You agree not to use the Services in violation of applicable sanctions, anti-corruption, or financial crime laws, and not to use the Services for discriminatory or unlawful profiling. Sahl may suspend access to comply with law or protect the platform.
20) Changes to These Terms
We may update these Terms. If changes are material, we will post an updated version with a new effective date. Continued use of the Services after the effective date constitutes acceptance.
21) Governing Law and Jurisdiction
These Terms are governed by the laws of Morocco. Courts of competent jurisdiction in Casablanca, Morocco will have jurisdiction, subject to mandatory legal provisions.
